The summer lull is over and the small-cap sector wakes up to something as unusual as a real merger wave. For those who analyze institutionally, this is not chatter — it is an exercise in calculating things the market prices carelessly.
Lesson 1: TERP is math, not feeling
Every listed merger with a new share issue raises the question: what is the stock 'really' worth after the share issue? The answer is called TERP — Theoretical Ex-Rights Price — and it is pure arithmetic: (market capitalization before + new capital) ÷ number of stocks after.
WHY do we point this out? Because TERP is the case where feeling most often beats against the rulebook. The stock traded above the subscription price feels 'expensive' and below TERP 'cheap' — but both can be wrong. That is exactly where process beats sentiment — but only if you log every assumption and know what would turn you. Otherwise it is not patience, it is hope.
